By accessing or using ECelebs (the “Platform”), you agree to these legally binding Terms. If you disagree, discontinue use immediately.

1. Definitions

• “Platform”: ECelebs’ website, app, smart contracts, and affiliated services.
• “Member”: Verified user granted access to exclusive features.
• “ECELEBS Token”: The Platform’s proprietary digital asset.
• “NFTs”: Non-fungible tokens issued or recognized by ECelebs.

2. Eligibility & Membership

• Minimum Age: 18+ (strictly enforced).
• Invitation-Only: Membership requires approval (we reserve sole discretion to reject applicants).
• KYC/AML: May be mandated for token access or high-value perks.
• Wallet Requirement: A Web3 wallet (e.g., MetaMask) is essential for blockchain features.

3. User Obligations

You agree to:
–Provide accurate information during onboarding.
– Safeguard your wallet credentials (we are not liable for lost keys or unauthorized access).
– No illegal activities (e.g., money laundering, fraud).
– No resale of invitations or membership slots.

Violations may result in termination, forfeiture of tokens/NFTs, or legal action.

4. Intellectual Property

• ECelebs-Owned Content: Logos, trademarks, and proprietary tech are protected (no commercial reuse without permission).
• User-Generated Content: You grant us a royalty-free license to display submissions (e.g., event photos).
• NFTs: Ownership grants usage rights per [Smart Contract Terms] but does not transfer ECelebs’ IP.

5. Blockchain & Financial Terms

• Non-Custodial: We never hold private keys or store crypto assets.
• Token Disclaimers:
  • ECELEBS tokens are utility tokens only—not securities or investment instruments.
  • Value may fluctuate; we do not guarantee profitability.
• Gas Fees: Users bear all blockchain transaction costs.

6. Events & Physical Perks

• Admission Rights: Events are non-transferable unless specified.
• Conduct: We may eject attendees for disruptive behavior.
• Risk Waiver: Participation in experiences (e.g., travel, VIP access) is at your own risk.

7. Disclaimers & Limitation of Liability

• “As Is” Basis: The Platform is provided without warranties (to the fullest extent permitted by law).
• Excluded Damages: We are not liable for:
  • Lost profits or data breaches due to user error.
  • Third-party actions (e.g., blockchain hacks, partner disputes).

8. Termination

• By Us: We may suspend/terminate accounts for breaches or inactivity.
• By You: Members may delete accounts via dashboard (blockchain data cannot be erased).

9. Dispute Resolution

• Negotiation First: Parties agree to 30-day mediation before litigation.
• Jurisdiction: Disputes governed by English law (courts in London, UK).
• Class Action Waiver: Claims must be filed individually.

10. Amendments

• Updates Posted: Revised Terms go live upon publication (continued use = acceptance).
• Material Changes: Members receive 30 days’ notice via email.
• We reserve the right to change these terms to reflect changes in law or best practice or to deal with additional features which we introduce.
